Purpose of Role
TD Legal is dedicated to providing industry-leading advice and counsel to all TD business segments and corporate functions. In this Senior Legal Officer role, you will join a dynamic and collegial team of professionals at TD Legal, providing advice and support to TD’s Canadian Business Banking division. This role will primarily involve providing transactional support for commercial lending transactions, product development, research and advisory and developing and enhancing key processes and procedures. You will play a critical role in providing support to the Business Banking legal teams’ various mandates, activities, initiatives, and processes using a high degree of analytical, communication and organizational skills. You draw on your sound decision-making skills to solve complex problems and recommend ways to change or adjust methods and procedures to make them as effective and efficient as possible. You will build effective relationships with business and functional partners and help to ensure compliance with internal policies and procedures.
Key Responsibilities and Skills
You will:
- Carry out studies, research, and analysis on legal topics.
- Review and negotiate non-disclosure agreements.
- Review Personal Property Security Act (PPSA) and the Register of Personal and Movable Real Rights (RDPRM) searches and prepare and negotiate subordination and priority agreements.
- Prepare and draft reports, resolutions, powers of attorney, contracts, and other ancillary documents, letters, notices, etc.
- Maintain and update Business Banking template legal documentation
- Support creating and maintaining other documents including precedents, checklists, action plans, job aids, etc.
- Collaborate and contribute as an important member of the team, and assist team members with their tasks, projects, and their initiatives and help them plan and coordinate legal activities
- Be responsible for matter management and data management
- Contribute to high priority Legal Department initiatives, including knowledge management and workflow improvement.
Key Competencies
What you will bring to this role:
- Paralegal/Law Clerk designation
- Minimum of five (5) years of experience as a commercial Paralegal/Law Clerk at a financial institution, other large organization, or law firm is preferred
- Knowledge of Personal Property Security Act (PPSA) and the Register of Personal and Movable Real Rights (RDPRM)
- Strong communication skills in both French and English, both oral and written due to the nature of the duties or work tools and because the position involves interactions with english-speaking partners, members and/or clients.
- Strong computer and electronic document skills, including Microsoft Word, Outlook, Adobe, Powerpoint and Excel
- Strong ability to balance competing work demands and to work independently and collaboratively within a team.
- Strong problem-solving, communication and decision-making skills.
- Flexibility to quickly adapt to changing priorities and ability to work in a fast-paced, detail-oriented environment and manage multiple deadlines and priorities.
